Terms and Conditions

Definitions:

For the purposes of this agreement, Sound & Script Studio operates as an independent voice-over service provider. “The Client” refers to the party commissioning Sound & Script Studio’s services, including its respective assignees, sub-licensees, and successors in title.

Introduction:

These Terms and Conditions form a legal agreement between Sound & Script Studio and the Client, governing the use of our voice-over services.

By booking our services, the Client confirms they have read, understood, and agreed to these Terms and Conditions. The booking process is initiated upon written confirmation via email following agreement on the provided quotation.

If the Client is unfamiliar with working with voice-over professionals, Sound & Script Studio is happy to provide guidance to ensure a seamless and efficient collaboration.

If the Client does not agree with these Terms and Conditions, they must refrain from using our services.

All content provided on our official platforms is protected by copyright, and any unauthorized duplication constitutes an infringement.

Voice-Over Services

Sound & Script Studio provides professional voice-over services designed to deliver high-quality audio tailored to the Client’s project. The Basic Studio Fee (BSF) includes:

  • Studio Facilities and Personnel: Access to a home studio setup equipped for premium recording quality.

  • Pre-Recording Preparation: Thorough script review and project discussion to align with creative expectations.

  • Audio Editing: Standard editing for broadcast-quality recordings. Additional editing, such as file splitting or syncing to picture, can be arranged as part of the project quotation.

  • Delivery of Audio Files: Finished audio files are provided via secure file-sharing services such as WeTransfer.

Additional services beyond the standard BSF may incur extra charges, as outlined in the agreed quotation.

Intellectual Property Rights and License of Creative Property:

Copyright for all recorded material remains with Sound & Script Studio unless explicitly agreed otherwise. Intellectual property rights extend to all voice-over recordings, original scriptwriting (if applicable), and any sound design elements provided.

Upon receipt of full payment, the Client is granted a license to use the recorded material within the agreed project scope. While ownership of the voice-over remains with Sound & Script Studio, the Client is authorized to use the recording in accordance with the agreed terms.

Unauthorized use of recorded material may result in legal action, and we kindly request that all usage respects these rights.

Unless prohibited by a Non-Disclosure Agreement (NDA) or similar contractual obligation, Sound & Script Studio reserves the right to showcase completed works (e.g., publicly available videos) for promotional purposes across its website and social media platforms.

Usage Rights:

Authorized Usage:
The Client has the right to use Sound & Script Studio’s recordings only for the specific project and purpose agreed upon in writing. This includes usage within the specified territory for a period of 3-12 months, unless an alternative timeframe is established in the agreement.

Extending or Expanding Usage:
Any expansion of usage—such as additional mediums, geographic distribution, or extended licensing—must be negotiated and agreed upon before permission is granted.

Important Restrictions:

  • Reputation Protection: Recordings may not be used in ways that harm Sound & Script Studio’s reputation. Usage rights commence only after full payment has been received.

  • No Unauthorized Copying or AI Use:

    • Voice recordings may not be copied, replicated, or used in AI-generated systems without explicit written permission. Unauthorized use is strictly prohibited and may result in legal action.

  • Ownership Transfers:

  • Recorded material cannot be transferred to different companies without prior agreement and additional fees, as determined by Sound & Script Studio.

 

Recording Process:

My recording process is structured to ensure high-quality output while meeting your specific needs. Key aspects include:

- Final Script:
A finalised, approved script must be provided before we formalise an agreement. This ensures clarity on the content and direction.

- Word Count:
The word count must be confirmed prior to finalising the contract. This helps estimate recording duration and informs the project’s quotation.

- Pronunciation Guide:
For words or names with specific or uncommon pronunciations, a pronunciation guide is highly encouraged. This guarantees accuracy in the final recording.

- Non-Directed Session:
If opting for a non-directed session (where I record independently), you’ll need to approve a recorded sample beforehand. Reference materials—such as demos and pacing/style preferences—are welcome and helpful.

- Sync-to-Picture (Optional):
We offer a sync-to-picture service for projects requiring precise alignment with visuals. This may incur an additional fee, depending on complexity and time required.

 

- Recording Options

We provide three recording approaches to suit different needs:

1 – Live Directed Session (Remote):
Recording through Source Connect, Cleanfeed, or SessionLink, allowing real-time direction and feedback. You can record on your end while directing the session.

2 – Live Directed Session (Local):
Similar to the previous option, but we handle the local recording and send the final files afterward.

3 – Non-Directed Session:
We independently record your script based on provided instructions, without real-time direction.

Please note that the chosen recording method may impact both project timeline and cost.

 

 

Service Provision:

We are committed to delivering high-quality voiceover services tailored to your needs. The exact details - scope, timeline, and cost - will be outlined in a formal email proposal.

Services may include, but are not limited to:

  • Script reading & interpretation

  • Voiceover recording

  • Audio editing

  • File delivery in the required format

If any adjustments or additions to the agreed project scope arise after our contract is finalised, additional costs may apply. These may include extended recording time, editing, or other necessary resources. Any such changes will be communicated and approved before moving forward.

We aim to remain flexible and accommodating, ensuring your satisfaction. However, significant deviations from the original project scope must be discussed and formally agreed upon to maintain fairness and transparency.

Payment:

The payment terms for our voiceover services will be agreed upon via email.

For first-time bookings, we reserve the right to request full payment upfront, which must be received before delivering the final audio files. If needed, you must provide an invoice reference before the invoice is generated. Payments can be made in GBP, USD, or EUR, as determined at the quoting stage.

If payment is not received within 48 hours from the final invoice date, we will send a single reminder. Failure to pay after this reminder will result in default status without additional notification.

In this case, we reserve the right to:

  • Cancel or withdraw the license for usage of the recordings.

  • Apply administrative fees for overdue payments, including additional costs incurred due to payment delays.

  • Pass on the claim for collection, which may result in further legal or financial consequences.

You will be responsible for covering the principal sum, as well as statutory commercial interest, administrative fees, reminder fees, and any extrajudicial or litigation costs that apply beyond standard legal determinations.

Late payments may result in project cancellation or a pause in work, so we encourage timely payment for a smooth collaboration.

Delivery:

The final audio files will be delivered via WeTransfer as 24-bit/48kHz WAV files.

If you require an alternative format, please specify this at the booking stage. We can accommodate various file formats to suit your project needs.

Regarding file-splitting, up to 10 separate files are included as part of the Basic Studio Fee (BSF). If more than 10 files are required, an additional fee will be applied due to the extra time and resources needed for proper file management.

 

Revisions (Pickups):

We understand that adjustments may be necessary after the initial delivery.

  • Requests for revisions must be made within 7 days of receiving the final audio files.

  • If I make an error in the recording or the sound quality is of a lower standard than expected, I will correct it at no additional cost.

  • Script changes up to 20% of the original text can be recorded for free.

For changes beyond these limits, reasonable charges may apply, and we will provide cost details for approval before proceeding.

If a full re-recording is required, it will be billed at 50% of the original BSF to cover time and resources needed for the new session.

Cancellation:

I recognise that circumstances may change, and cancellations may be necessary. If so, please notify us in writing as soon as possible.

Upon receiving a cancellation request, we will stop all work on the project. However, depending on the stage of completion, a cancellation fee may be applied to cover already completed work and incurred costs.

The cancellation fee will be calculated based on the work already completed. We will provide an itemised breakdown so you can see how the cost is determined.

  • Payments made prior to cancellation are non-refundable.

  • If the cancellation fee exceeds prior payments, the remaining balance must be settled.

Limitations of Liability

In the event of any dispute arising from our voiceover services, our liability is strictly limited to the amount paid for our services. This means the maximum amount claimable under any circumstances will be the total fee paid for the service provided.

We are not liable for any indirect or consequential losses that may result from the use of our recordings or services. This includes, but is not limited to:

  • Loss of profits

  • Loss of contracts

  • Loss of anticipated savings

  • Loss of business opportunities

  • Loss of reputation

This limitation of liability does not affect your statutory rights as a consumer, nor does it exclude liability in any situation where it would be illegal to do so.

Governing Law:

These Terms and Conditions, as well as any dispute or claim (including non-contractual disputes or claims) arising from or in connection with them, shall be governed by and construed in accordance with the laws of the United Kingdom.

Both parties agree irrevocably that disputes shall be settled under the exclusive jurisdiction of the courts of the United Kingdom.

Force Majeure:

Neither we nor the Client shall be liable for delays or failures in fulfilling obligations under this agreement if caused by circumstances beyond reasonable control. These may include, but are not limited to:

  • Acts of God (e.g., floods, earthquakes, storms)

  • War, terrorism, or civil unrest

  • Government restrictions or legal actions

  • Strikes or labor disputes

  • Widespread technical disruptions (e.g., internet failure)

  • Severe illness or incapacitation of personnel

If such an event occurs:

  • The affected party must notify the other party in writing as soon as possible.

  • Reasonable efforts should be made to mitigate effects and resume performance swiftly.

  • If the event continues beyond 30 days, both parties may renegotiate or terminate the agreement with no further liability.​

 

Changes to Terms and Conditions:

We reserve the right to modify these Terms and Conditions at any time to reflect evolving business needs and industry standards.

Any changes will be posted on our official website, and we encourage clients to review these periodically.

Changes will become effective immediately upon publication. By continuing to use our services after modifications are made, you acknowledge and accept the updated terms.

While we may send email notifications regarding updates, we recommend regularly checking our website to ensure you are aware of the most current policies.
